Business sale tax calculator
What do you keep after selling? Enter the price, your basis and your tax rates. See a planning estimate of the tax and your proceeds. Not tax advice.
What gets taxed
The taxable gain is the sale price, less your selling costs, less your tax basis. Part of the price may be taxed as ordinary income, such as recapture of depreciation you have already deducted and the value of inventory. The rest is usually taxed at long-term capital gains rates when you owned the business for more than a year. State tax is added on top in most states.

Questions people ask
Is this tax advice?
No. It is a planning estimate for conversation with your accountant. Business sales have many moving parts, and small changes in how the price is allocated can change the tax a lot.
Why are the rates not filled in for me?
Brackets and thresholds are adjusted every year. We ask for your own rates so the estimate does not rely on out-of-date numbers.
Can I lower the tax?
Sometimes. Common tools include an installment sale, how the price is allocated among assets, and timing. Plan with an accountant before the deal is signed, not after.
Is this financial, legal or tax advice?
No. It is a free estimate to help you plan and to start a conversation with your lender, accountant or advisor. Check the real figures with them before you decide.
